Terms & Conditions / Disclaimer

By applying to join and/or participating in any program, membership, licensing arrangement, or service offered by North Star Virtual Agency (“North Star”, “we”, “us”, “our”), you (“you”, “applicant”, “member”, “licensee”) acknowledge and agree to the following terms and conditions.

Please read this carefully. By submitting your application, using our systems, or accessing any of our materials, you are agreeing to these Terms & Conditions.

1. No Guarantees of Income, Clients, or Success

1.1. North Star does not guarantee any specific results, income, profit, number of clients, or business success.

1.2. Any examples of income, client results, or success stories shared by North Star or its representatives are illustrative only and do not represent a promise or guarantee of what you will achieve.

1.3. Your results will depend on many factors, including but not limited to: your effort, skills, experience, market conditions, and the time and energy you put into your business.

2. You Are the Business Owner

2.1. By joining North Star, you understand that you are operating as an independent business owner, not an employee, partner, or agent of North Star.

2.2. North Star provides tools, systems, templates, and support, but you are solely responsible for:

• Running your own business

• Serving your clients

• Setting your own prices and offers

• Complying with all applicable laws in your jurisdiction

2.3. North Star is an opportunity and a support system, but you must do the work. Your business decisions and actions are your own.

3. Membership / Licensing Fee

3.1. By joining North Star, you agree to pay the applicable membership/licensing fee, currently starting at $97/month (or such other amount as may be communicated to you at the time of signup).

3.2. You authorize North Star or its payment processor to charge your chosen payment method for the membership/licensing fee on a recurring basis, until you cancel according to the cancellation policy provided to you.

3.3. Unless otherwise stated in writing, all fees are non‑refundable.

4. Intellectual Property & Use of Materials

4.1. All materials provided by North Star, including but not limited to:

• Templates (contracts, invoices, emails, social media, ChatGPT prompts, etc.)

• Systems, workflows, and processes

• Training materials, videos, and workshops

• Branding assets, logos, graphics, and website content

are the intellectual property of North Star Virtual Agency and/or its licensors.

4.2. You are granted a limited, non‑exclusive, non‑transferable license to use these materials only for your own VA business as a North Star member/licensee.

4.3. You may not, under any circumstances:

• Copy, reproduce, or distribute our materials to others

• Resell, sublicense, or share our templates, trainings, or systems as your own

• Create competing products, courses, or programs using our materials

• Use our logo or branding in any way not expressly authorized by us in writing

4.4. Any unauthorized use, copying, resale, or distribution of our materials may result in immediate termination of your membership/license and may lead to legal action.

5. Confidentiality & Trade Secrets

5.1. In the course of your membership, you may receive access to confidential information and trade secrets, including but not limited to: internal systems, processes, strategies, pricing frameworks, and proprietary templates.

5.2. You agree to keep all such information strictly confidential and not to share, disclose, or make it available to any third party, except as necessary to operate your own VA business in accordance with these Terms.

5.3. This duty of confidentiality continues even after your membership or license with North Star ends.

6. Legal Disclaimer – Not Legal Advice

6.1. North Star may provide you with sample contracts, invoices, policies, and other templates. These are provided for educational and informational purposes only and do not constitute legal advice.

6.2. We are not lawyers and do not guarantee that any template, contract, policy, or document complies with the laws of your country, province/state, or jurisdiction.

6.3. You are strongly encouraged to have all contracts, invoices, policies, and templates reviewed by your own lawyer before using them in your business.

6.4. By using our templates and materials, you acknowledge that you do so at your own risk and that North Star is not responsible for any legal issues that may arise from your use of such materials.

7. For Educational & Entertainment Purposes Only

7.1. All content, training, and materials provided by North Star are offered for educational and informational purposes only, and in some cases may be described as being for “entertainment purposes only.”

7.2. Nothing we provide should be understood as:

• Legal advice

• Financial advice

• Tax advice

• Mental health or medical advice

You should always consult the appropriate licensed professional for advice specific to your situation.

8. Client Relationships & Liability

8.1. You are solely responsible for your relationships with your clients, including:

• Contracts and agreements

• Payments and refunds

• Service delivery and quality

• Communication and boundaries

8.2. If a client makes a claim against you, refuses to pay, or sues you for any reason, North Star is not responsible and will not be liable for any damages, losses, or costs.

8.3. You agree that you take full legal responsibility for:

• The services you provide

• The promises you make to clients

• Any actions or omissions in your business

8.4. You agree to indemnify and hold harmless North Star, its owners, employees, contractors, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to your business, your clients, or your use of our materials.

9. Limitation of Liability & No Lawsuits

9.1. To the fullest extent permitted by law, North Star will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your participation in our programs or use of our materials.

9.2. In no event shall North Star’s total liability to you exceed the total amount you have paid to North Star in membership/licensing fees in the twelve (12) months preceding any claim.

9.3. By applying and/or participating, you agree that you will not bring any claim, action, or lawsuit against North Star, its owners, employees, contractors, or affiliates for any reason arising out of or related to:

• Your business results

• Your client relationships

• Your use of our materials

9.4. If you nevertheless choose to bring a claim or lawsuit, you agree that you will be responsible for all legal costs, fees, and expenses incurred by North Star in defending such claim, to the fullest extent permitted by law.

10. Use of Platforms & Third‑Party Services

10.1. By using our systems, website, Instagram, Facebook, or any other platforms connected to North Star, you also agree to comply with the Terms of Service and Privacy Policies of those platforms.

10.2. North Star is not responsible for any actions taken by third‑party platforms, including but not limited to: account suspensions, content removals, or changes to their terms.

11. Governing Law & Jurisdiction

11.1. These Terms & Conditions are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein.

11.2. Any dispute, claim, or legal proceeding arising out of or relating to these Terms, your membership, or your use of our materials shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

12.1. North Star may update or modify these Terms & Conditions from time to time.

12.2. Any changes will be effective when posted, and your continued participation or use of our materials after such changes constitutes your acceptance of the updated Terms.

13. Acceptance of Terms

By submitting your application, joining as a member/licensee, or using any of North Star’s materials, you acknowledge that you have read, understood, and agree to these Terms & Conditions.

14. Not an Employer / No Employment Relationship
14.1. North Star is not your employer. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship.
14.2. You are solely responsible for your own taxes, bookkeeping, business registration, and legal compliance.
14.3. You agree that you will not present North Star as your employer to clients, agencies, or government authorities.

15. Cancellation & Termination
15.1. You may cancel your membership at any time. Access will continue until the end of your current billing cycle.
15.2. Upon cancellation, you must discontinue all use of North Star branding, logos, systems, templates, and materials.
15.3. North Star may terminate your membership immediately if you:

• Violate these Terms

• Misuse our brand or materials

• Engage in unethical, illegal, or fraudulent conduct

• Attempt to resell, share, or redistribute our materials
  15.4. No refunds are offered for early termination.

16. Data Privacy & Client Information
16.1. You are solely responsible for protecting client data, passwords, confidential information, and any digital access provided to you by your clients.
16.2. North Star is not responsible for any data breaches, lost client information, or security incidents related to your business operations.
16.3. You agree to follow reasonable privacy and security practices and comply with applicable privacy laws in your jurisdiction.

17. Brand Representation
17.1. You agree to represent the North Star brand professionally and ethically.
17.2. You may not:

• Misrepresent your affiliation with North Star

• Make false claims about results, income, or success

• Use the brand in any misleading, harmful, or deceptive way
  17.3. Violation of this section may result in immediate termination of your membership.

18. Use of Business Email & Technology
18.1. If North Star provides you with a business email, system access, or technology tools, these remain the property of North Star.
18.2. Access to these tools will end immediately upon cancellation.
18.3. You agree to use all provided tools only for professional purposes and in accordance with these Terms.

19. Non-Disparagement
19.1. You agree not to publicly defame, disparage, or harm the reputation of North Star, its owners, employees, contractors, or other members.
19.2. This includes social media, online reviews, public forums, and private groups.
19.3. This clause does not prevent you from expressing honest opinions or engaging in lawful reporting.

20. Entire Agreement
20.1. These Terms & Conditions constitute the entire agreement between you and North Star and supersede all prior discussions, communications, or understandings regarding your membership or licensing relationship.

Not a Job / Not MLM Disclaimer 21.1. North Star Virtual Agency (NSVA) is a licensing-style membership program providing tools, templates, branding, and support for independent Virtual Assistants. 21.2. NSVA is not an employer, job placement service, recruitment agency, or multi-level marketing company (MLM). 21.3. Members operate their own independent businesses and are solely responsible for finding clients, setting rates, delivering services, and complying with applicable laws. 21.4. NSVA does not guarantee income, clients, or success.

Privacy Policy (Summary) 22.1. NSVA collects and stores member information (such as name, email, payment details) to provide services and manage membership. 22.2. Member information will not be sold or shared with third parties, except as required for payment processing or legal compliance. 22.3. Members are responsible for securely managing their own client data; NSVA is not responsible for client data breaches. 22.4. By joining NSVA, you consent to our collection and use of your personal information in accordance with this Privacy Policy.

Refund Policy 23.1. All membership/licensing fees are non-refundable unless required by law. 23.2. Members may cancel at any time; cancellation takes effect at the end of the current billing cycle. 23.3. No refunds are provided for early termination or failure to use NSVA materials, systems, or tools.

Website Footer / Short Disclaimer 24.1. North Star Virtual Agency is a licensing-style membership program providing tools, branding, and support for independent Virtual Assistants. 24.2. Members run their own businesses and keep 100% of their client revenue. 24.3. NSVA does not provide clients, guarantee income, employment, or job placement. 24.4. All materials remain the property of NSVA and may not be resold or redistributed.
